SEBI (Listing Obligations and Disclosure Requirements) (Third Amendment) Regulations, 2019

The Securities and Exchange Board of India (SEBI) on June 27, 2019, has published the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) (Third Amendment) Regulations, 2019 to further amend the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. It will come into force on the date of its publication in the Official Gazette that is June 27, 2019.

The amendments are made in Regulation 23(1A) of SEBI (LODR) Regulations, 2015 which talks about the ‘Related party transaction’ specifying that any transaction involving payments with respect to brand usage or royalty shall be considered material if such transaction(s) during a financial year, exceed 5% of the annual consolidated turnover of the listed entity as per the last audited financial statements.
